1. Acceptance of Terms By accessing or using the AppDaddy.ai website, platform, or related services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.
These Terms, along with our Privacy Policy, form the entire agreement between you and AppDaddy regarding use of our Services.
2. Eligibility

• You must be at least 13 years old to use the Services.
  
• If you are using the Services on behalf of a company, you represent that you are authorized to bind that company to these Terms.
  

3. Services Overview AppDaddy.ai provides a B2B SaaS marketplace for deal discovery, available as a freemium web app with paid subscription options and webinars.
We may update, enhance, or discontinue parts of the Services at any time with or without notice.
4. Account Registration & Security

• You must provide accurate and complete information when creating an account.
  
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
  
• Notify us immediately of any unauthorized use of your account.
  

5. Subscriptions & Payments

• Certain Services require payment. Subscriptions are billed through our payment processor (currently Stripe).
  
• All fees are in USD (or INR for Indian customers) unless otherwise specified.
  
• By subscribing, you authorize us and our payment processor to charge your chosen payment method.
  
• Renewals: Subscriptions auto-renew unless canceled before the renewal date.
  
• Refunds: Unless otherwise required by law, all payments are non-refundable.
  

6. Acceptable Use You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes.
  
• Attempt to gain unauthorized access to systems, data, or accounts.
  
• Reverse engineer, copy, or resell the Services without written consent.
  
• Upload or transmit viruses, malware, or harmful code.
  
• Use the Services to process or store sensitive personal data (e.g., health, financial, government ID data) unless expressly permitted.
  

7. User Content

• You may upload or provide data, text, files, or other materials (“User Content”).
  
• You retain ownership of your User Content.
  
• By submitting User Content, you grant AppDaddy a worldwide, non-exclusive, royalty-free license to use, host, store, and display it for the purpose of operating and providing the Services.
  
• We do not use your uploaded documents for AI training without your explicit consent.
  

8. Intellectual Property

• All rights, title, and interest in the Services, including software, trademarks, logos, and content, belong to AppDaddy.ai or our licensors.
  
• You may not copy, modify, distribute, or create derivative works without our prior written consent.
  

9. Third-Party Services

• The Services may integrate with third-party providers (e.g., Stripe, AWS, SendGrid).
  
• Your use of those services may be subject to their own terms and privacy policies.
  
• AppDaddy is not responsible for third-party services.
  

10. Disclaimer of Warranties The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted, secure, or error-free operation.
11. Limitation of Liability To the maximum extent permitted by law:

• AppDaddy and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, lost data, or business interruption).
  
• Our total aggregate liability for all claims related to the Services will not exceed the greater of (a) the amount you paid to us in the 6 months preceding the claim, or (b) USD $100.
  

Some jurisdictions do not allow exclusion of liability for certain damages; in such cases, our liability will be limited to the maximum extent allowed by law.
12. Indemnification You agree to defend, indemnify, and hold harmless AppDaddy, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, or expenses arising out of:

• Your use of the Services,
  
• Your violation of these Terms,
  
• Your violation of any law or third-party rights.
  

13. Suspension & Termination

• We may suspend or terminate your account if you violate these Terms or engage in prohibited conduct.
  
• You may cancel your account at any time via your account settings or by contacting support@umirai.ai.
  
• Upon termination, your right to use the Services will immediately cease. Certain sections (e.g., Intellectual Property, Limitation of Liability, Governing Law) will survive termination.
  

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of India, without regard to conflict of laws.
  
• Any disputes shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.
  
• For EU/UK or U.S. users, this does not affect rights under mandatory consumer protection laws in your place of residence.
  

15. Changes to Terms We may update these Terms from time to time. When we make material changes, we will provide notice (e.g., via email or prominent notice on the Site). Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
